Terms of Service

The short version: Soho is an AI companion for adults, delivered over text. It is not a person, not a therapist, and not for anyone under 18. Be an adult, keep it legal, and you can cancel or erase everything with a text.

1. The agreement

These Terms of Service are an agreement between you and Soho, Inc. ("Soho," "we," "us"). They govern the soho.chat website and the Soho companion service you reach by text message (together, the "Service"). By visiting the site or texting Soho, you accept these terms. If you do not accept them, do not use the Service.

2. You must be an adult

The Service is for people 18 years of age or older (or the age of majority where you live, if higher). By using the Service you represent that you meet this requirement. We confirm age during onboarding, and if we learn that a user is under 18 we will end their access and delete their data. If you are under 18, close this page.

3. What Soho is, and is not

Soho is a software companion powered by artificial intelligence. When you message Soho you are talking to an AI system, not a human being. Conversations with Soho are fictional companionship and entertainment. Soho's replies are generated automatically and can be wrong, incomplete, or inappropriate despite our efforts.

Soho is not a medical, psychiatric, psychological, legal, or financial professional, and nothing in your conversations is professional advice. Using the Service does not create a therapist-client, physician-patient, attorney-client, or any other privileged relationship. Any safety features in the Service are automated, are not monitored by clinicians, and will not contact anyone on your behalf.

If you are in crisis or thinking about harming yourself or someone else, stop texting Soho and contact the 988 Suicide and Crisis Lifeline (call or text 988), the Crisis Text Line (text HOME to 741741), or 911. Soho cannot help in an emergency.

4. Adult content

Soho is built for adults, and conversations may include mature or sexually explicit themes at your direction. By using the Service you confirm that you want this kind of companionship and are legally permitted to receive it where you live.

Two lines are absolute. First, we have zero tolerance for any content that involves, depicts, sexualizes, or roleplays minors in any way. Second, the Service may not be used to plan, further, or commit illegal activity. Crossing either line ends your access immediately and permanently, and where required or permitted by law we report it to the appropriate authorities, including the National Center for Missing and Exploited Children.

5. Text messaging consent

By texting Soho you consent to receive messages from us at the number you texted from. Message and data rates from your carrier may apply. Reply STOP at any time to stop receiving messages. The Service depends on third-party messaging platforms and may not work on every device or carrier, and we may change supported platforms over time.

6. Subscriptions and billing

Parts of the Service require a paid subscription. Pricing and trial details are presented before you pay. Subscriptions renew automatically at the end of each billing period until you cancel, and by subscribing you authorize recurring charges to your payment method.

7. Acceptable use

Use the Service only for lawful, personal purposes. Do not use it to harass, threaten, defame, or harm any real person. Do not probe, scrape, copy, resell, reverse engineer, or interfere with the Service, attempt to access systems or data that are not yours, or use the Service to build a competing product. We may suspend or terminate access for violations of these terms, with no refund except where the law requires one.

8. Your messages and Soho's replies

You own the messages you send. You give us the license we need to receive, store, process, and respond to them in order to operate, personalize, secure, and improve the Service, as described in our Privacy Policy. Soho's replies are generated by AI and are provided as-is; do not rely on them as fact.

9. Deleting your data

Text "delete" to Soho at any time to erase your conversation history and everything Soho remembers about you, as described in the Privacy Policy. Deleting your data also ends any active subscription at the close of the current billing period.

10. Our property

The Service, including the Soho name, wordmark, site design, and software, belongs to us or our licensors and is protected by intellectual property law. We grant you a personal, non-transferable right to use the Service under these terms, and nothing transfers ownership to you. Do not use the Soho name or marks without our written permission.

11. Feedback

If you send us ideas or suggestions about the Service, we may use them without restriction or compensation, and you grant us a perpetual, irrevocable, royalty-free license to do so. We may already be working on something similar.

12. Disclaimers

The Service is provided as-is and as-available, without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, title, and non-infringement, to the fullest extent the law allows. We do not promise the Service will be accurate, uninterrupted, error-free, or secure. Your sole remedy for dissatisfaction with the Service is to stop using it. Some jurisdictions do not allow certain warranty exclusions, so parts of this section may not apply to you.

13. Limit on liability

To the fullest extent permitted by law, our total liability to you for all claims arising out of or relating to the Service is limited to the greater of one hundred dollars ($100) or the amounts you paid us in the twelve months before the claim arose. We are not liable for indirect, incidental, special, consequential, or punitive damages, including emotional distress, loss of data, or loss of goodwill, even if foreseeable. Some jurisdictions do not allow certain limits on liability, so parts of this section may not apply to you.

14. Indemnification

You agree to defend and hold us, our affiliates, and our personnel harmless from claims, damages, and expenses, including reasonable attorneys' fees, arising from your misuse of the Service, your violation of these terms, or your violation of any law or the rights of any person.

15. Governing law and disputes

These terms are governed by the laws of the State of Delaware, without regard to conflict-of-law rules. Before filing any claim, contact us at contact@soho.chat and give us 30 days to work it out informally. We operate the Service from the United States; if you use it from elsewhere, you are responsible for compliance with your local laws.

16. Changes and housekeeping

We may update these terms from time to time. Changes take effect when posted here with a new effective date, and your continued use of the Service means you accept them. If any part of these terms is found unenforceable, the rest stays in effect. Our failure to enforce a provision is not a waiver of it.
